Terms of Service
These terms form a binding agreement between you and Synthic governing your use of Synthic. Please read them — sections 9 through 12 limit our liability and affect your legal rights.

01Agreement to these terms
By creating an account, accessing, or using Synthic (the “Service”), you agree to these Terms of Service (the “Terms”). If you are agreeing on behalf of a company, you represent that you have authority to bind that company, and “you” means that company.
If you do not agree to these Terms, do not use the Service. Our Privacy Policy is incorporated into these Terms by reference.
02The Service
Synthic measures how AI answer engines describe and cite brands, and generates recommendations and structured data intended to improve that visibility. The Service queries third-party AI engines, stores their responses as evidence, and computes scores from those responses.
We may add, change, or remove features. If we materially reduce functionality of a paid plan, we will give you notice and you may cancel for a pro-rated refund of the unused portion of your term.
03Accounts and eligibility
- You must be at least 16 and able to form a binding contract.
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding your credentials and for all activity under your account.
- You must notify us promptly at support@usesynthic.com of any unauthorized use.
- Workspace owners and admins control membership and may add, remove, or change the roles of members.
04Plans, billing, and refunds
Subscriptions
Paid plans are billed in advance on a recurring monthly basis through Stripe, our payment processor. By subscribing, you authorize us to charge your payment method on each renewal date until you cancel.
Renewal and cancellation
- Subscriptions renew automatically unless cancelled before the renewal date.
- You may cancel at any time from the billing page. Cancellation takes effect at the end of the current billing period.
- You keep access to paid features until the end of the period you have paid for.
Refunds
Except where required by law or expressly stated in these Terms, fees are non-refundable and we do not provide refunds or credits for partial periods, unused audits, or unused seats. We may, at our sole discretion, offer a refund in individual cases.
Price changes, taxes, and failed payments
- We may change prices with at least 30 days’ notice before your next renewal. Continuing after that date accepts the new price.
- Fees exclude taxes unless stated. You are responsible for applicable taxes, except taxes on our income. Where Stripe acts as merchant of record, it may collect and remit transaction taxes.
- If a payment fails, we may retry, suspend access, or downgrade your workspace to the free plan.
Usage limits
Each plan includes stated limits on brands, audits, and seats. Limits are enforced in real time. We may throttle or suspend usage that materially exceeds your plan or that imposes disproportionate load.
05Acceptable use
You agree not to, and not to permit anyone to:
- Use the Service to analyze a domain you do not own or lack authorization to analyze.
- Break, probe, or circumvent security, access controls, plan limits, or rate limits.
- Reverse engineer, decompile, scrape, or copy the Service, or use it to build a competing product.
- Resell, sublicense, or provide the Service to third parties except through a plan that expressly permits managing client brands.
- Upload unlawful, infringing, defamatory, or malicious content, or anything that violates a third party’s rights.
- Use the Service to generate misleading content, impersonate any person or organization, or manipulate AI systems deceptively.
- Violate any applicable law, or the terms of any third-party service the Service connects to — including the AI providers’ own usage policies.
- Interfere with the Service’s operation or place unreasonable load on it.
We may investigate suspected violations and may suspend or terminate access, without refund, for conduct we reasonably believe violates these Terms or exposes us or others to liability.
06Your content and your data
You retain all rights to the brands, domains, keywords, and other material you submit (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Your Content solely to operate and improve the Service and to provide it to you.
You represent and warrant that you own or have the necessary rights to Your Content, and that our processing of it will not violate any law or third-party right.
We do not use Your Content to train our own models. Audit prompts are transmitted to third-party AI providers as described in the Privacy Policy.
07Our intellectual property
The Service — including its software, design, scoring methodology, documentation, and trademarks — is owned by Synthic and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, subject to these Terms.
Outputs the Service generates for you — reports, schema markup, recommendations, and generated files — are yours to use for your own business purposes. Third-party names and logos shown in the Service belong to their owners and are used nominatively; their appearance does not imply endorsement or affiliation.
If you give us feedback or suggestions, we may use them without restriction or obligation to you.
08Third-party services
The Service depends on third parties — AI answer engines, hosting, payment, analytics, and data providers. Your use of connected third-party services is governed by their terms, and we are not responsible for their acts, omissions, availability, pricing, or changes to their APIs.
If you supply your own API keys, you are responsible for all charges and for compliance with that provider’s terms.
09AI output — accuracy and no guaranteed results
Please read this section carefully; it is central to what Synthic is.
The Service reports what third-party AI engines say. Those engines are probabilistic, non-deterministic, and frequently inaccurate. The same prompt can return different answers at different times, which is why we report confidence and variance rather than a single number.
- We do not warrant that engine responses are accurate, complete, current, or free of error, bias, or hallucination.
- Scores, share-of-voice figures, and recommendations are estimates derived from sampled responses at a point in time, not statements of fact.
- We do not guarantee any outcome — no improvement in visibility, mentions, citations, rankings, traffic, leads, or revenue. AI engines and their ranking behaviour are controlled entirely by third parties.
- Generated output (schema, FAQ, llms.txt, copy suggestions) is provided for your review. You are responsible for reviewing and verifying it before publishing.
- Nothing in the Service is legal, financial, tax, or professional advice.
You agree not to rely on the Service as the sole basis for any material business decision.
10Warranty disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT RESULTS OBTAINED WILL BE ACCURATE OR RELIABLE. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
11Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTHIC AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO THE SERVICE — WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
These limits do not apply to liability that cannot be excluded by law, such as fraud, wilful misconduct, or death or personal injury caused by negligence. They form an essential basis of the bargain between us.
12Indemnification
You will defend, indemnify, and hold harmless Synthic and its officers, employees, and agents from any claim, damage, loss, liability, and expense (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your breach of these Terms or of any law; (d) your analysis of any domain you were not authorized to analyze; or (e) your violation of any third-party right.
13Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if your use creates risk or liability for us or others. We may also discontinue the Service with 30 days’ notice, in which case we will refund any prepaid, unused fees.
On termination, your right to use the Service ends and we may delete your data as described in the Privacy Policy. Export anything you need first. Sections 6 through 12 and 14 survive termination.
14Governing law and disputes
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Sonoma County, California, and waive any objection to venue there.
Before filing a claim, you agree to try to resolve it informally by contacting support@usesynthic.com and allowing 30 days for a good-faith resolution.
Claims must be brought within one year of the date the claim arose, or they are permanently barred, except where a longer period is required by law.
15General
- Entire agreement: these Terms and the Privacy Policy are the whole agreement between us on this subject.
- Severability: if any provision is unenforceable, the rest remains in force.
- No waiver: not enforcing a provision is not a waiver of it.
- Assignment: you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control, including third-party API outages.
- Changes: we may update these Terms and will post the new version with an updated date. For material changes we will give notice before they take effect; continued use accepts them.
